These Terms of Service govern your membership and use of all Slope Space facilities at Mountain Green Resort in Killington, Vermont.

By purchasing a membership, activating a Day Pass, or entering the premises, you agree to these terms in full. Please read them carefully before using the space.

Important Legal Notices
Sections 20 through 27 contain critical legal terms that affect your rights. They include a WAIVER AND RELEASE OF LIABILITY, ASSUMPTION OF RISK for the fitness center, pools, and steam room, and a binding ARBITRATION AGREEMENT. By using Slope Space facilities, you agree to these terms. Please read these sections carefully before using the space.
1. Who Is a Member
A Member is any person who has paid for access to Slope Space or been granted access by Slope Space. Membership types include:
- Day Pass: A single-day access purchase.
- Punchcard: A pack of Day Passes purchased in advance.
- Monthly Membership: Ongoing access billed monthly.
- Annual Membership: Ongoing access billed annually.
- Office Tenant: Anyone with a separate rental agreement for dedicated office space.
All Members, regardless of plan type, are subject to these Terms of Service.
2. Membership Options and Access

Access rights are personal and non-transferable. Members may not share access codes, key fobs, or login credentials.
3. Payment and Billing
All access requires valid, current payment.
- Day Pass: Pay upon arrival or in advance through the member portal.
- Punchcard: Purchase through the portal or app. Each visit deducts one pass.
- Recurring Plans (Monthly / Annual): Billed automatically on the agreed schedule.
- Late or Failed Payments: Access is suspended immediately until the balance is resolved. Slope Space is not responsible for any loss of productivity, access, or business opportunity during a suspension period.
Slope Space may update membership fees with 30 days written notice. Continued use after the notice period constitutes acceptance of the new pricing.
4. Cancellation and Changes
Cancellation: To cancel a recurring membership, submit your request through the Proximity member portal or by email to info@slopespace.com. Cancellations require 15 days notice before the next billing date. Access continues through the end of the paid billing period. If proper notice is not given, you may be billed for one additional billing cycle.
Account Changes: Membership upgrades and downgrades can be requested through the portal or by email. Changes take effect when the next payment is processed.
5. Member Benefits
Active paying Members receive the following benefits (subject to their membership tier):
- Filtered water, coffee, and tea
- High-speed Wi-Fi
- Phone booths (coming soon)
- Access to select community events
- Utilities included
- Gym and fitness facility access
- Snack facilities
- Local business discounts (view current offers at proximity.slopespace.com/member-benefits)
Benefits are provided for normal, reasonable personal use. Excessive or abusive use of any included benefit may result in restriction of that benefit or termination of membership, at Slope Space's sole discretion. Slope Space may modify or discontinue benefits at any time with reasonable notice.
6. Shared Workspace Rules
Slope Space is a shared community. We ask all Members to:
- Clean up after themselves. Leave shared areas in the condition you found them.
- Keep noise at a reasonable level. Be mindful of others working nearby.
- Take care of personal belongings. Slope Space is not responsible for any personal items left in shared areas, including items that are lost, stolen, or damaged.
7. Guest Policy
Monthly and Annual Members may invite guests using the guest day pass code available through the member portal.
- Guests are welcome to remain for the full reservation period if using a paid service.
- Guests are permitted only during standard business hours: Sunday through Saturday, 7:00 AM – 7:00 PM.
- Members are responsible for the conduct of their guests. All guests are subject to these Terms of Service while on the premises.
8. Storage
Hot Desk Members may use shared filing cabinets for temporary, daily storage only.
- Lost key fee: $50.00, charged to the Member's account.
- Prohibited items: No illegal, flammable, hazardous, or toxic materials may be stored on the premises at any time.
- Inspection: Slope Space reserves the right to inspect or remove any items if misuse is suspected, at any time and without prior notice.
9. Parking
All parking associated with Mountain Green Resort is public and not owned, operated, or controlled by Slope Space. Members park at their own risk. Slope Space has no liability for any damage to or theft of vehicles or their contents in any parking area.
10. Alcohol and Smoking
- Alcohol is prohibited on the premises unless Slope Space has given prior written approval for a licensed event.
- Smoking and vaping are prohibited indoors at all times.
- Violations may result in immediate suspension or termination of membership.
11. Internet Use
Members may use the Slope Space network for lawful purposes only. The following are strictly prohibited:
- Any illegal activity or transmission
- Sending spam or unsolicited bulk messages
- Uploading or distributing malicious code, viruses, or harmful programs
- Setting up independent wireless networks or VoIP systems without Slope Space's prior written consent
Violations may result in immediate membership termination.
12. Technical Support
Slope Space provides basic, best-effort IT support as a courtesy. We do not provide professional technical services.
- Slope Space is not liable for any damage to personal devices or equipment.
- If any manufacturer warranty is voided as a result of assistance provided by Slope Space staff, that is the Member's sole responsibility.
13. Filming, Photography, and Surveillance
Promotional Photography and Video: Slope Space may photograph or film the premises for marketing and promotional use. By using the space, Members consent to being included in such content. If you would prefer to be excluded, submit a written request to info@slopespace.com and we will honor it within five business days.
Security Cameras: Slope Space operates 24-hour video surveillance throughout the premises, including all common areas. Footage is retained for up to 24 hours unless needed for review or investigation. By entering the premises, you consent to being recorded.
14. Conduct and Prohibited Actions
Members must conduct themselves in a safe, respectful, and lawful manner at all times. The following are prohibited:
- Damaging or misusing Slope Space property or the property of other Members
- Disrupting or harassing other Members, guests, or staff
- Any behavior that creates a nuisance, poses a safety risk, or harms the reputation of Slope Space or Mountain Green Resort
- Any illegal activity of any kind
15. Non-Solicitation
Slope Space is a professional community. Unsolicited sales pitches, recruiting, or promotional activity directed at other Members without their consent is not permitted. General networking is welcome and encouraged when it is mutual and respectful.
16. Slope Space Property
All furniture, equipment, and fixtures are the property of Slope Space and must remain on the premises at all times unless Slope Space has given prior written approval for removal. Unauthorized removal may result in membership termination and liability for replacement costs.
17. Staff Access
Slope Space management and authorized personnel may access all areas of the premises at any time without prior notice for the purposes of maintenance, safety, or operations. Slope Space is not liable for any incidental disruption this may cause.
18. Membership Revocation
Slope Space membership is a revocable, non-exclusive license to use the space. It is not a lease, tenancy, or any form of real property interest. No property rights of any kind are created by membership. Slope Space retains full ownership and control of the premises at all times.
19. Termination
Slope Space may terminate any membership immediately, without refund, for:
- Unsafe, illegal, or threatening behavior
- Harassment or harm to other Members, guests, or staff
- Repeated or serious violations of these Terms of Service
- Any conduct that Slope Space reasonably determines is disruptive or harmful
If Slope Space loses access to its premises at Mountain Green Resort for any reason, all memberships terminate immediately. Slope Space will make reasonable efforts to provide advance notice when possible.
Sections 20–27: Important Legal Terms
The sections below include a Waiver and Release of Liability, Assumption of Risk, Indemnification, and Binding Arbitration Agreement. These are legally significant terms. By using Slope Space — including the fitness center, indoor lap pool, outdoor pool, and steam room — you agree to these terms.
20. FITNESS CENTER, POOL, AND STEAM ROOM — ASSUMPTION OF RISK
20.1 Who May Use the Fitness Facilities
Access to the Slope Space fitness center, indoor lap pool, outdoor seasonal pool, and steam room is available only to active, paying Members whose plan includes gym access. Use of these facilities by anyone else is not permitted.
20.2 Inherent Risks
YOU UNDERSTAND AND AGREE THAT PHYSICAL EXERCISE AND USE OF FITNESS EQUIPMENT, SWIMMING POOLS, AND STEAM ROOMS CARRY INHERENT RISKS OF SERIOUS INJURY OR DEATH.
These risks exist even when all equipment is well-maintained, all rules are followed, and reasonable safety precautions are in place.
By using the fitness facilities, you voluntarily and knowingly assume all risks associated with:
Fitness Center and Equipment
- Injury from the use, misuse, or malfunction of any fitness equipment
- Muscle strains, ligament tears, joint injuries, fractures, and other exercise-related injuries
- Cardiovascular events including heart attack, cardiac arrest, or stroke
- Falling from equipment or slipping on gym surfaces
- Injury caused by contact with other Members or their equipment
Indoor Lap Pool
- Drowning or near-drowning, including for competent swimmers
- Head, neck, and spinal injuries from diving, slipping, or falling
- Slip-and-fall injuries on wet pool deck surfaces
- Waterborne illness or infection
- Injury caused by contact with pool equipment, walls, or lane dividers
- Adverse reactions to pool chemicals
- Sudden medical emergencies in or near the water
Steam Room
- Overheating, heat exhaustion, or heat stroke
- Dehydration and its related complications
- Respiratory distress or aggravation of pre-existing respiratory conditions
- Loss of consciousness
- Cardiovascular events triggered by heat exposure
- Burns from steam, hot surfaces, or heated elements
- Slip-and-fall injuries on wet surfaces
Seasonal Outdoor Pool
- All risks described above for the indoor lap pool
- Additional risks associated with outdoor conditions including variable temperatures, weather events, sun exposure, and slippery surfaces
20.3 No Lifeguard on Duty
THE INDOOR LAP POOL AND SEASONAL OUTDOOR POOL ARE NOT STAFFED BY A LIFEGUARD.
You swim entirely at your own risk. You are responsible for your own safety and for the safety of any guest accompanying you. Do not swim alone. Do not swim if you are fatigued, ill, under the influence of alcohol or medications that impair judgment or physical ability, or if you have a medical condition that makes swimming unsafe for you.
20.4 Steam Room Specific Warnings
The steam room at Slope Space reaches high temperatures. Before using the steam room, you should consult your physician if you have any heart condition, high or low blood pressure, respiratory condition, skin condition, are pregnant, or have any other condition that may be aggravated by heat. Do not use the steam room alone, under the influence of alcohol or sedating medications, or for extended periods without hydration.
20.5 Voluntary Participation
Your use of the fitness facilities is entirely voluntary. You are not required to use the gym, pools, or steam room as a condition of any membership. By choosing to use these facilities, you acknowledge that you understand the risks described above and that you freely and voluntarily choose to accept them.
21. WAIVER AND RELEASE OF LIABILITY
READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
21.1 Full and Complete Release
In consideration of being permitted to use the Slope Space fitness center, indoor lap pool, steam room, and seasonal outdoor pool, you — on behalf of yourself, your heirs, personal representatives, and assigns — HEREBY WAIVE, RELEASE, AND FOREVER DISCHARGE the following parties from any and all claims, demands, causes of action, liabilities, damages, costs, and expenses of any kind, whether known or unknown, arising from your use of these facilities:
- Slope Space and its owners, members, managers, officers, and employees
- Mountain Green Resort and its owners, members, managers, officers, and employees
- Any property owner, lessor, or landlord of the premises
- All contractors, vendors, and service providers engaged at the property
- All agents and representatives of any of the above
This release covers claims for:
- Personal injury, including serious injury, permanent disability, and death
- Property damage or loss
- Emotional distress or psychological harm
- Any other loss or harm arising from use of the fitness facilities
This release applies to claims arising from any cause, including but not limited to ordinary negligence on the part of any released party, defective or poorly maintained equipment, inadequate warnings, or the acts or omissions of staff, contractors, or other Members.
21.2 Scope and Limitation
This waiver and release is intended to be as broad and inclusive as is permitted under the laws of the State of Vermont. If any portion is found unenforceable, the remainder continues in full force. This release does not purport to release claims arising from gross negligence, reckless conduct, or intentional misconduct to the extent such claims are non-waivable under Vermont law.
21.3 Acknowledgment
By using the Slope Space fitness facilities, you acknowledge and agree that:
- You have read this waiver carefully and understand its contents.
- You are giving up substantial legal rights, including the right to sue.
- You are signing and agreeing to this waiver freely, without pressure or coercion.
- You are of legal age and have the capacity to enter into this agreement.
22. Health Acknowledgment
By using the Slope Space fitness facilities, you represent and acknowledge that:
- You are in good enough physical health to participate in physical exercise and to use fitness equipment, pools, and the steam room.
- You are not aware of any medical condition, illness, injury, or physical limitation that makes such use unsafe for you without physician clearance.
- If you have any doubts about your health or fitness to use these facilities, you will consult a licensed physician before doing so.
- You understand that Slope Space staff are not medical professionals and are not qualified to assess your physical condition or advise you on whether exercise or pool/steam room use is safe for you.
- If you experience any pain, dizziness, shortness of breath, chest discomfort, or any other unusual physical symptom while using the facilities, you will stop immediately and seek medical attention if needed.
Slope Space strongly encourages all Members to obtain a physician's clearance before beginning any new exercise program.
23. Indemnification
You agree to indemnify, defend, and hold harmless Slope Space, Mountain Green Resort, the property owner, and all of their respective owners, members, managers, officers, employees, contractors, and agents (the “Indemnified Parties”) from and against any and all claims, suits, demands, actions, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or related to:
- Your use of Slope Space facilities, including the fitness center, pools, and steam room
- Your breach of any provision of these Terms of Service
- Any act or omission by you or your guests while on the premises
- Any claim by a third party resulting from your conduct at Slope Space
This indemnification obligation is broad and includes claims arising from your own negligence. It survives the termination or expiration of your membership.
You agree to cooperate fully with the Indemnified Parties in the defense of any claim covered by this section. Slope Space reserves the right to assume exclusive control of the defense of any matter subject to indemnification.
24. Personal Property Waiver
Slope Space is not responsible for any personal property brought onto the premises.
This includes items lost, stolen, damaged, or destroyed, whether in the coworking space, fitness center, locker areas, or any other part of the facility. You bear full responsibility for the safety of your belongings at all times. Slope Space strongly encourages Members not to bring items of significant value to the space.
25. Dispute Resolution and Binding Arbitration
25.1 Good Faith Resolution
If you have a dispute with Slope Space, we want to resolve it fairly. Before taking any formal action, please contact us at info@slopespace.com and give us a reasonable opportunity to address your concern.
25.2 Binding Arbitration
If a dispute cannot be resolved informally, you and Slope Space agree that it will be resolved through final and binding arbitration, not through a lawsuit in court.
This means you are giving up your right to have a judge or jury hear your case.
ACKNOWLEDGMENT OF ARBITRATION
I understand that this Agreement contains an agreement to arbitrate. After agreeing to these Terms, I understand that I will not be able to bring a lawsuit concerning any dispute that may arise which is covered by the arbitration agreement, unless it involves a question of constitutional or civil rights. Instead, I agree to submit any such dispute to an impartial arbitrator.
- Rules: Arbitration will be conducted under the rules of the American Arbitration Association (AAA) or JAMS, as selected by the initiating party, unless both parties agree in writing to use a different process.
- Location: Arbitration will take place in Windsor County, Vermont, unless the parties agree to a different location or format.
- Costs: Each party is responsible for its own arbitration costs unless the arbitrator awards costs to the prevailing party.
- Scope: This arbitration agreement covers all disputes arising out of or relating to these Terms of Service or your membership, including disputes about the validity, enforceability, or scope of this agreement.
- Exceptions: Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm while arbitration is pending.
25.3 Class Action Waiver
All disputes must be brought on an individual basis only. You may not bring any claim as a class action, collective action, or representative proceeding. The arbitrator has no authority to consolidate claims or award class-wide relief.
25.4 Governing Law and Venue
These Terms of Service are governed by the laws of the State of Vermont, without regard to its conflict-of-law rules. For any matter not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Windsor County, Vermont.
25.5 Attorneys' Fees
In any arbitration or court proceeding arising from these Terms of Service, the prevailing party is entitled to recover reasonable attorneys' fees and costs from the non-prevailing party, to the extent permitted by applicable law.
26. General Legal Provisions
26.1 Modification of Terms
Slope Space may update these Terms of Service at any time. We will provide at least 30 days notice of material changes by email or through the member portal. Your continued use of Slope Space after the notice period constitutes your acceptance of the updated terms. If you object to any change, you may terminate your membership in writing within 30 days of the notice, effective at the end of your then-current billing period.
26.2 Severability
If any provision of these Terms of Service is found to be invalid, void, or unenforceable under applicable law, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
26.3 No Partnership or Employment
Nothing in these Terms of Service creates a partnership, joint venture, agency, franchise, or employment relationship between you and Slope Space. You have no authority to bind Slope Space in any way.
26.4 No Waiver
Slope Space's failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or of any other right.
26.5 Entire Agreement
These Terms of Service, together with any rental or office agreement you may have signed, constitute the entire agreement between you and Slope Space regarding your membership. They supersede any prior agreements, representations, or understandings.
26.6 Notices
All formal notices under these Terms may be sent by email to info@slopespace.com or to the email address on your Slope Space account. Notices are effective upon confirmed receipt, or four business days after being sent, whichever occurs first.
27. Non-Discrimination
Slope Space is committed to providing a welcoming, inclusive environment for everyone. We do not discriminate on the basis of race, color, religion, gender, gender expression or identity, age, national origin, disability, marital status, sexual orientation, or veteran status.
